China One-Person Company: Legal Structure, OPC Policy and Foreign Founders

A one-person company in China usually means a company with a single shareholder. Under the current Company Law, an LLC can have one shareholder. The AI “OPC” label is different: it describes a founder operating model or a policy target, not an additional corporate form that replaces an ordinary limited liability company.

The legal structure comes first

The Company Law identifies limited liability companies and companies limited by shares. Article 42 permits an LLC with one to fifty shareholders. For a one-shareholder company, Article 60 replaces a shareholders’ meeting with written shareholder decisions that must be retained.

Single ownership therefore changes how ownership and certain decisions are organised. It does not mean that commercial activity takes place outside the company framework. The entity still needs a properly defined business, governance and records.

China OPC vs a normal company

The useful comparison has four dimensions. Legal structure answers who owns the entity and how it is constituted. Operating model answers how the work gets done. Team size counts the people involved. Policy branding identifies a programme’s target group. None of these dimensions should be used as a substitute for the others.

  • Legal structure: an ordinary LLC may have one shareholder or several.
  • Operating model: an AI-assisted founder may use software, contractors and partners.
  • Team size: a single shareholder does not establish that the company has only one employee.
  • Policy category: a local OPC programme may use its own ownership, staff, activity and spending tests.

Single ownership is not a shortcut around responsibility

Article 23 places a specific burden on a single shareholder to demonstrate the independence of company property from personal property; failure can result in joint liability for company debts. Article 47 generally requires subscribed LLC capital to be paid within five years of establishment, subject to applicable exceptions.

Use those rules to ask better setup questions about capital, records and separation of finances. They are reasons to design the company carefully, not reasons to assume that choosing an OPC label reduces the need for accounting or a workable capital plan.

Where foreign-founder questions enter

Foreign investors may establish companies alone or jointly under the Foreign Investment Law. The actual business must still fit the applicable market-access and licensing framework. Nationality does not turn “OPC” into a separate registration route.

For a proposed China entity, review the activity and ownership together. A provider’s statement that a one-shareholder company can be registered is not a complete answer about the business’s services, customers, employment or operating permissions.

Why a legally valid company might not qualify as an OPC

Haidian’s May 2026 guide illustrates the difference. That batch specified establishment dates, founder ownership, typical staff scale and AI-use expenditure, among other conditions. Those are programme tests, not the national definition of a limited liability company. Its published general application window has also elapsed.

A company can be legally established and commercially sound without matching that batch. Conversely, resembling the programme’s founder profile is not evidence that registration, support approval and immigration steps are already resolved.

Choose the structure around the work

Prepare a short operating brief before comparing registration packages: who owns the intellectual property, who signs contracts, where customers are, what the China team will do and whether the founder will work locally. Explain why a China entity is needed at this stage.

Then separate the base case from optional support. The base case should be a viable operation under the chosen legal structure. A later programme approval can improve that case; it should not be the only reason the company exists. For procedural detail, continue to the existing company guide rather than treating an OPC search result as a complete incorporation instruction.
